Terms of Service

1. Agreement to Terms

By accessing or using the CheapestGPU platform ("Platform"), operated by CheapestGPU ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform, including buyers of GPU compute capacity ("Buyers") and data center operators or GPU providers who list capacity ("Suppliers").

2. Description of Services

CheapestGPU operates as a GPU compute brokerage. We connect Buyers seeking GPU compute resources with Suppliers who have available capacity. Our services include:

  • Sourcing and listing verified GPU compute capacity from third-party data centers.
  • Facilitating introductions and negotiations between Buyers and Suppliers.
  • Providing pricing transparency, including base provider pricing and our brokerage margin.
  • Benchmarking and verifying cluster specifications prior to listing.

We do not own, operate, or control the underlying GPU infrastructure. All compute resources are provided by independent third-party Suppliers. CheapestGPU acts solely as an intermediary.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the entity you represent. By using the Platform, you represent and warrant that you meet these requirements.

4. Account Registration

Certain features of the Platform may require you to submit information through forms or request quotes. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.

5. Brokerage Fee and Pricing

CheapestGPU charges a transparent brokerage fee on transactions facilitated through the Platform. The base price from the Supplier and our margin are disclosed separately. All pricing displayed on the Platform is indicative and subject to confirmation at the time of order.

Final pricing, payment terms, and contract terms are agreed upon directly between the Buyer and Supplier, with CheapestGPU facilitating the process. We reserve the right to modify our fee structure at any time with reasonable notice.

6. No Warranty on Compute Resources

While we benchmark and verify GPU clusters before listing, CheapestGPU does not guarantee the performance, uptime, or availability of any third-party compute resources. All infrastructure is provided "as is" by the Supplier, and any service level agreements (SLAs) are between the Buyer and Supplier.

7. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of applicable laws.
  • Misrepresent your identity, capacity, or the nature of your intended workloads.
  • Attempt to gain unauthorized access to any part of the Platform or its systems.
  • Scrape, harvest, or collect data from the Platform without written consent.
  • Interfere with the proper functioning of the Platform.

8. Intellectual Property

The Platform, including its design, content, logos, and software, is the intellectual property of CheapestGPU and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, CheapestGPU shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability for any claim arising from or related to the Platform shall not exceed the total fees paid by you to CheapestGPU in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless CheapestGPU, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall survive.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CheapestGPU is incorporated, without regard to conflict of law principles.
